Terms of Service.
These Terms of Service ("Terms") are an agreement between you and Abrazo LLC, a Delaware limited liability company authorized to do business in New York under the name Abrazo Services LLC ("Abrazo," "we," "us" or "our"). They apply when you use the Abrazo app, the website at abrazoservices.com, a provider's personal booking link, or when you text Ana, our AI booking agent (together, the "Platform").
By using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform. If you are a service provider, the Abrazo Provider Agreement also applies to you.
What Abrazo Is
Abrazo is a marketplace that connects clients with vetted independent service professionals ("Providers"). Abrazo does not perform services. Every service is performed by a Provider who is an independent contractor, not an employee or agent of Abrazo. Providers set their own prices, availability and services.
The services available on the Platform change over time. A service is only available if it is shown in the app or confirmed by Ana at the time you book.
Eligibility
You must be at least 18 years old to create an account, book a service or make a payment. By using the Platform, you confirm that you meet this requirement and that the information you give us is accurate and complete.
Your Account
You can use Abrazo through the app or by text. When you text Ana for the first time, we create an account for you linked to your phone number. You are responsible for keeping your account and phone secure and for all activity on your account.
You can close your account at any time in the app or by emailing support@abrazoservices.com. We may suspend or close accounts that break these Terms or put Providers or other users at risk.
Booking With Ana, Our AI Booking Agent
Ana is an automated AI booking agent, not a person. Ana can help you find Providers, check availability, make bookings and take payment by text message or in the app. Ana is powered by a third party AI provider.
Ana can make mistakes. Please review the details Ana sends you, including the service, date, time, location and price. A booking is confirmed only when you receive a booking confirmation from Abrazo. If something looks wrong, reply to Ana or contact support@abrazoservices.com. When Ana cannot help, your request is passed to a member of the Abrazo team.
Prices, Payments and Fees
The full price of a booking, including any fees that apply, is shown before you confirm. Abrazo does not add hidden fees. Payments made on the Platform are processed by Stripe, and by paying you also agree to Stripe's terms. With your permission, your card may be saved so future bookings are faster.
Abrazo may introduce a booking or convenience fee in the future. Any such fee will always be shown to you before you confirm a booking.
Some Providers also see their own existing clients outside the Platform and accept other payment methods from them. Payments you make directly to a Provider outside the Platform are between you and that Provider, and Abrazo is not responsible for them.
Cancellations, No Shows and Refunds
If you cancel
- More than 24 hours before the booking: full refund.
- Within 24 hours of the booking: 50% of the service price is charged.
- No show (you are not available at the booked time and place): the full service price is charged.
If the Provider cancels or does not show up
You receive a full refund, and we will try to help you find another Provider.
Refunds go back to your original payment method and may take 5 to 10 business days to appear, depending on your bank. If you believe you were charged in error, contact support@abrazoservices.com within 30 days of the charge.
Text Messages (SMS)
When you text Abrazo at 631-888-6553, or give us your mobile number in the app, you agree to receive text messages from Abrazo about your requests, bookings, payments and account, including messages sent by Ana. Message frequency varies. Message and data rates may apply.
Reply STOP at any time to stop receiving messages. Reply HELP for help, or email support@abrazoservices.com. Your consent to receive messages is not a condition of any purchase. Mobile carriers are not liable for delayed or undelivered messages.
Using the Platform Responsibly
You agree to use the Platform only for lawful purposes. You may not:
- commit fraud, harass, threaten or discriminate against anyone, including Providers;
- give false information or pretend to be someone else;
- request any illegal or unsafe service;
- interfere with, copy, scrape or try to break the Platform or Ana;
- arrange to book or pay a Provider outside the Platform for services with a Provider you first found through Abrazo. This does not apply to a Provider you already worked with before Abrazo.
Please provide a safe environment for Providers who come to your home, and tell them about anything they need to know to do their work safely, such as pets, allergies or the needs of a child in their care.
Provider Vetting and Safety
Abrazo vets every Provider before they can join. Vetting may include identity verification, a review of credentials and experience, a review of public records and information available online, and references from past clients. For Providers who work with children, Abrazo also reviews public criminal record and sex offender registry information.
No vetting process is perfect. Abrazo does not guarantee the quality, safety or legality of any service, or that a Provider will meet your expectations. Please use good judgment, especially when inviting someone into your home or leaving a child in someone's care. If anything unsafe happens, contact emergency services first, then tell us at support@abrazoservices.com.
Reviews and Content You Share
You may be able to rate and review Providers. Reviews must be honest and based on your own experience. By posting a review or other content, you give Abrazo a worldwide, royalty free license to use, display and share it in connection with the Platform, including on Provider profiles. You keep ownership of your content. We may remove content that breaks these Terms.
Intellectual Property
The Platform, including its software, design, text, logos and the names Abrazo and Ana, belongs to Abrazo or its licensors. You may not copy, modify or distribute any of it without our written permission.
Disclaimers
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Abrazo makes no warranties about the Platform or about any service performed by a Provider. Any dispute about a service is between you and the Provider, although we may help where we can. Abrazo is not responsible for personal injury, property damage, theft or other harm caused by a Provider or occurring during a service.
Limitation of Liability
To the maximum extent permitted by law, Abrazo is not liable for any indirect, incidental, special, consequential or punitive damages. Abrazo's total liability for any claim relating to the Platform will not exceed the greater of the amount you paid to Abrazo in the six months before the event giving rise to the claim, or $100. Some places do not allow these limits, so they may not fully apply to you.
Indemnification
You agree to defend, indemnify and hold harmless Abrazo and its owners, employees and agents from claims, damages and expenses (including reasonable attorney fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or anyone else's rights.
Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules.
You and Abrazo agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. Either of us may instead bring an individual claim in small claims court, or ask a court for an injunction to protect intellectual property. You and Abrazo each waive the right to a jury trial and to take part in a class action or other representative proceeding. If this arbitration section is found unenforceable, disputes will be heard in the state or federal courts located in New York County, New York.
Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will tell you in the app, by text or by email before it takes effect. Continued use of the Platform after the change takes effect means you accept the updated Terms.
General
These Terms and our Privacy Policy are the entire agreement between you and Abrazo about the Platform. If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them, for example as part of a merger or sale of our business.
